FINRA’s Findings

According to the FINRA BrokerCheck report, Warnick consented to a sanction through an Acceptance, Waiver, and Consent (AWC) agreement dated September 15, 2025. Without admitting or denying FINRA’s findings, Warnick agreed to the entry of findings that he failed to provide requested information and documents during an investigation into whether he:

  • Participated in an undisclosed private securities transaction;
  • Engaged in an undisclosed outside business activity (OBA); and
  • Maintained an undisclosed securities account

As a result, FINRA imposed a permanent bar, effective September 15, 2025, prohibiting Warnick from acting in any capacity with a FINRA member firm. The order permanently ends Warnick’s ability to operate as an investment advisor within the securities industry

Harry Warnick’s Termination from Spartan Capital Securities

Prior to FINRA’s action, Warnick was discharged by Spartan Capital Securities on September 12, 2024. According to the firm’s report to FINRA, his termination followed an internal investigation into an alleged outside business activity with a firm customer, participation in a private securities transaction, and use of a personal email address to conceal the transaction from the firm. Spartan Capital also reported that Warnick failed to cooperate with its internal review

The product involved in the investigation was listed as Equity–OTC (over-the-counter) securities, which are often associated with higher risk and less regulatory oversight than exchange-traded investments.

Employment and Licensing Background

What Harry Warnick Clients Should Know

In this case, FINRA’s action prevents Warnick from returning to the securities industry in any capacity.

Investors who worked with Harry Warnick, particularly during his tenure with Spartan Capital Securities, would be wise to review their accounts for any unauthorized transactions, private investments, or unusual activity conducted outside of firm channels.
